Welcome to M8TRIX5 Academy. By purchasing, accessing, or participating in the M8TRIX5 Academy Certified Capital Partner Program, you acknowledge that you have read, understood, and agreed to the following Terms & Conditions.

These Terms & Conditions form an agreement between you and M8TRIX5 Academy (“M8TRIX5,” “we,” “us,” or “our”).

1. The M8TRIX5 Academy Program

M8TRIX5 Academy provides education, training, resources, tools, and support designed to prepare participants to become Certified M8TRIX5 Capital Partners.

The program is designed to help participants understand the M8TRIX5 ecosystem, the real estate development model, capital partnership concepts, investor communication, relationship development, and the role of a Certified Capital Partner.

Completion of the Academy does not guarantee that a participant will generate income, secure investors, close transactions, receive commissions, or participate in any particular development project.

2. Certification

Upon successfully completing the requirements established by M8TRIX5 Academy, a participant may be granted Certified M8TRIX5 Capital Partner status. Certification is a designation granted by M8TRIX5 and does not constitute a professional license, securities registration, financial advisor designation, real estate license, legal qualification, or other government-issued credential.

M8TRIX5 reserves the right to establish, modify, or update certification requirements from time to time.

3. No Guarantee of Income or Results

Your participation in the M8TRIX5 Academy does not guarantee any specific income, revenue, commissions, investor introductions, transactions, returns, or financial results.

Any examples of potential earnings, commissions, business results, or success presented by M8TRIX5 are illustrative only and should not be interpreted as a promise, prediction, or guarantee of future results.

Your results depend on numerous factors, including but not limited to:

Your individual effort and work ethic;

The time and resources you invest;

Your professional experience;

Your network and relationships;

Your ability to identify and develop qualified connections;

Market conditions;

Investor interest and availability;

The availability and suitability of development opportunities; and

Factors outside the control of M8TRIX5.

Your income potential is entirely dependent on your own activities, effort, relationships, and results.

M8TRIX5 makes no representation or guarantee that any participant will earn any particular amount of money.

4. Your Role as a Capital Partner

A Certified M8TRIX5 Capital Partner is responsible for developing and maintaining their own professional network and relationships.

Capital Partners may introduce qualified individuals to M8TRIX5 opportunities where authorized to do so.

You agree to represent M8TRIX5 accurately, professionally, and in accordance with all applicable laws, regulations, and instructions provided by M8TRIX5.

You must not make false, misleading, exaggerated, or unauthorized statements regarding M8TRIX5, its development projects, its partners, potential returns, investment opportunities, or expected results.

You may not make promises or guarantees regarding investment performance, returns, timelines, profitability, or outcomes on behalf of M8TRIX5.

5. No Financial, Legal, Tax, or Investment Advice

The M8TRIX5 Academy provides education and business training. It does not provide individualized financial, investment, legal, accounting, or tax advice. Nothing provided through the Academy should be interpreted as a recommendation that a person invest in a particular opportunity.

Capital Partners must not represent themselves as financial advisors, investment advisors, securities dealers, brokers, or other regulated professionals unless they independently hold the required authorization, registration, or licensing.

Where an opportunity involves securities or other regulated financial products, all activities must be conducted in accordance with applicable securities laws and the instructions and processes established by M8TRIX5 and its authorized partners.

6. Compliance and Professional Conduct

As a Certified Capital Partner, you agree to conduct yourself in a manner that protects the reputation, integrity, and professional standards of M8TRIX5.

You agree not to:

Make misleading or deceptive claims;

Misrepresent your relationship with M8TRIX5;

Misrepresent your certification or authority;

Make unauthorized financial or investment recommendations;

Provide unauthorized representations about development projects;

Use M8TRIX5 branding or materials in an unauthorized manner;

Engage in conduct that could damage the reputation of M8TRIX5 or its partners;

Engage in unlawful, fraudulent, abusive, discriminatory, or unethical conduct; or

Use M8TRIX5 materials or relationships for purposes outside the scope authorized by M8TRIX5.

7. Certification Status May Be Revoked

M8TRIX5 reserves the right to suspend or revoke Certified M8TRIX5 Capital Partner status at any time where, in M8TRIX5's reasonable judgment, a Capital Partner:

Violates these Terms & Conditions;

Misrepresents M8TRIX5 or its opportunities;

Engages in unethical, unlawful, fraudulent, or deceptive conduct;

Jeopardizes the integrity or reputation of M8TRIX5;

Misuses confidential information, intellectual property, or company materials;

Acts outside the authority granted to them;

Breaches applicable laws or regulations; or

Otherwise engages in conduct that M8TRIX5 reasonably determines is inconsistent with the standards of a Certified Capital Partner.

Where certification is revoked, the individual must immediately cease representing themselves as a Certified M8TRIX5 Capital Partner and cease using M8TRIX5 trademarks, branding, training materials, and other proprietary resources, except where otherwise authorized in writing.

Revocation of certification does not automatically entitle the participant to a refund.

8. Academy Fees and Refund Policy

The M8TRIX5 Academy Certified Capital Partner Program is a paid educational and certification program.

All program fees are non-refundable once the purchase has been completed, except where a refund or cancellation is required by applicable law.

By purchasing the program, you acknowledge that you are making a commitment to participate in the Academy and that failure to complete the training, failure to use the resources, lack of time, lack of participation, change of mind, or failure to achieve desired business results does not create a right to a refund, except where required by applicable law.

Nothing in this section limits any cancellation or refund rights that cannot legally be excluded or waived.

9. Program Access

Upon successful payment, participants will receive access to the Academy according to the program terms presented at the time of purchase.

M8TRIX5 may modify, update, improve, replace, or discontinue portions of the Academy, including training materials, modules, resources, systems, platforms, and processes, where reasonably necessary.

M8TRIX5 will make reasonable efforts to maintain access to purchased program content, subject to technology, platform availability, maintenance, circumstances beyond our control, and any access period specifically stated at the time of purchase.

10. Intellectual Property

All Academy content, including but not limited to videos, written materials, training modules, graphics, documents, presentations, scripts, systems, processes, templates, trademarks, logos, and other resources, is the property of M8TRIX5 or its respective licensors unless otherwise stated.

Your enrollment provides you with a limited, personal, non-transferable right to access and use Academy materials for your own participation in the program.

You may not:

Copy, reproduce, redistribute, resell, publish, sublicense, or commercially exploit Academy materials;

Share your login credentials;

Give unauthorized individuals access to the Academy;

Record or reproduce training sessions for redistribution; or

Use proprietary M8TRIX5 materials to create a competing training program.

11. Confidentiality

As a participant, you may receive access to confidential information relating to M8TRIX5, its business relationships, development projects, investors, partners, processes, and opportunities.

You agree to keep confidential information confidential and to use it only for purposes authorized by M8TRIX5.

You must not disclose confidential information to third parties without authorization, except where disclosure is required by law.

12. Independent Business Relationship

Participation in the M8TRIX5 Academy does not create an employment relationship, partnership, joint venture, franchise, agency relationship, or guarantee of future business between you and M8TRIX5 unless expressly established through a separate written agreement.

Certified Capital Partners are responsible for their own business activities, expenses, taxes, insurance, legal obligations, and compliance requirements. You do not have authority to bind M8TRIX5 to any agreement, obligation, representation, or commitment unless expressly authorized in writing.

13. Changes to the Program and Terms

M8TRIX5 may update these Terms & Conditions from time to time to reflect changes to the Academy, business practices, technology, legal requirements, or regulatory requirements.

Where required by applicable law, material changes will be communicated appropriately.

Your continued participation in the Academy following an effective update constitutes acceptance of the revised Terms, to the extent permitted by law.

14. Third-Party Opportunities

M8TRIX5 may provide information about or introductions to third-party businesses, developers, projects, service providers, or investment opportunities.

M8TRIX5 does not guarantee the performance, accuracy, availability, profitability, or suitability of third-party opportunities.

Any investment decision is made independently by the investor and should be based on appropriate independent due diligence and professional advice.

15. Limitation of Liability

To the maximum extent permitted by applicable law, M8TRIX5 and its owners, directors, officers, employees, contractors, affiliates, and representatives will not be responsible for indirect, incidental, consequential, special, or punitive damages arising from participation in the Academy or Capital Partner program, including loss of income, business opportunities, profits, or anticipated revenue.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

16. No Guarantee of Opportunity Availability

M8TRIX5 does not guarantee that any particular development project, investor, transaction, partnership, or business opportunity will be available to a Certified Capital Partner.

Opportunities may change, become unavailable, be delayed, or be subject to additional qualification, due diligence, legal, regulatory, financial, geographic, or other requirements.

17. Taxes

You are solely responsible for determining and fulfilling your own tax obligations arising from any income, commissions, fees, or other compensation you may receive.

M8TRIX5 does not provide tax advice.

18. Governing Law

These Terms & Conditions will be governed by the laws applicable in the jurisdiction identified in the final executed agreement or, where applicable, the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute will be handled in accordance with applicable law and any dispute-resolution provisions contained in a separate agreement between the parties.

19. Entire Agreement

These Terms & Conditions, together with the purchase terms, order confirmation, and any other written agreements expressly incorporated into the M8TRIX5 Academy program, constitute the agreement governing your participation in the Academy.

If there is a conflict between these Terms and a separate written agreement signed by M8TRIX5 and the participant, the separate written agreement will govern to the extent of the conflict.

20. Acceptance of Terms

By purchasing the M8TRIX5 Academy Certified Capital Partner Program, you confirm that:

You have read and understood these Terms & Conditions;

You understand that certification does not guarantee income or business results;

You understand that your results depend on your own effort, activities, relationships, and performance;

You understand that program fees are non-refundable except where a refund or cancellation is required by applicable law;

You agree to represent M8TRIX5 honestly, professionally, and within the authority provided to you;

You understand that M8TRIX5 may revoke your certification if you violate these Terms or jeopardize the integrity or reputation of the company; and you agree to comply with these Terms & Conditions.
